Participation and Disclaimer The Sex2Go.com site ("Sex2Go") is an internet affiliation Service. By uploading Sex2Go's banner ("Banner") on a web site ("Web Site") you (the"Affiliate") agree that you have read and understood this agreement ("Agreement"), and that your use of Sex2Go shall abide to its terms and conditions. 1. Affiliates may not place any false or misleading text or graphics in proximity to banners that purport to offer the User anything other than a Sex2Go subscription (for example, text such as "Search our 100,000 pic database" placed near a banner is false and misleads the User). 2. Only one account is allowed per company or organization. An Affiliate may use this account for as many Web Sites as he wishes to. 3. Sex2Go's pay periods run from the 1st to the end of month. Checks are mailed within 15 business days of the end of the month. The minimum earnings to receive a check is $100. If an Affiliate doesn't earn $100 in any single pay period his earnings will "roll-over" to subsequent periods until the Affiliate accumulates $100. 4. Sex2go.com payment for each click thru that is acquired through a banner is conditional upon the following conversion: You will receive 8 cents per click when one (1) of out every 400 click thrus becomes a paying member. For example: Affiliate A received 400 clicks with one (1) converting to a paying member. Affiliate A now earns $32. If click thrus do not convert based on the ratio of 1:400 you will then receive $32 per each click thru that becomes a registered member. Valid free subscribers may originate from the following countries:USA, Canada, Australia, Austria, Belgium, Chile, Cyprus, Denmark, Finland, France, Germany, Greece, Iceland, Ireland, Italy, Mexico, Netherlands, New Zealand, Norway, Peru, Portugal, Puerto Rico, South Africa, Sweden, Switzerland, UK Confirmed registered email of Users from countries not listed will not earn payment for Affiliates UNLESS the User becomes a paying Member of Sex2go.com (in which case, the User will count towards the Affiliate's convert rate but NOT toward the total number of clicks) A "Click" is defined as a single entry to the Sex2go.com site within a 24 hour period, from a single IP address, originating from a valid country, originating from an Affiliate's site. The maximum payout an Affiliate will receive is 100% of the value of the converted traffic. For instance, if an Affiliate refers converting members who pay a total of $50 and the total value of the clicks was $1000, the Affiliate will receive $50. 5. This condition applies retrospectively, thus all previously attained earnings are reducible. 6. All Affiliates must own, or have the rights to use, all copyrighted materials displayed or distributed on their Web Site. Any Web Sites having anything to do with warez, underage porn, passwords, or bestiality are strictly prohibited. 7. An Affiliate Subscription may not be assigned or transferred to any other person or entity. Affiliate must promptly inform Sex2Go of any apparent breach of security. Until Sex2Go is notified, by e-mail of any breach in security, the Affiliate will remain personally liable for any unauthorized use of the Service. 8. Affiliate is and shall be personally liable for, and shall defend, indemnify and hold harmless Sex2Go from any and all damages (including loss of profits, loss of property, fines and penalties), losses and costs (including attorneys' fees) resulting from any attempted or actual unauthorized downloading or other duplication whether solely by Affiliate or with or under the authority of any other including governmental agency. 9. Subscription to the Service may be terminated at any time, and without cause, by either Sex2Go or the Affiliate upon notification of the other by electronic or conventional mail, or by using the cancellation request form with a 3-day notice. 10. All materials on Sex2Go are proprietary, constitute valuable intellectual property, are copyrighted and are protected under treaty provisions and worldwide copyright laws. Sex2Go's materials may not be reproduced, copied, edited, published, transmitted or uploaded in any way without written permission. Subscribing to Sex2Go does not grant any express or implied right to Affiliate under any of its trademarks, copyrights or other proprietary information. No representation is made that the materials available on Sex2Go are appropriate or available for use in other locations, and access to them from jurisdictions where their contents are illegal is prohibited. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. 11. The affiliate hereby warrants and represents that he or she is over the age of 18 (21 in AL, MS, NE, WY, and any other location where 18 is not the age of majority), and in all respects is qualified and competent to enter into this Agreement. 12. With respect to the global nature of the Internet, the Affiliate acknowledges that he or she may only participate in the Sex2Go if, and to the extent, that such participation is permitted by all laws, rules, and regulations that are applicable to the Affiliate and might regulate Affiliate's online conduct. In particular, the Affiliate agrees to inform himself and to abide to any export restrictions and/or regulations which might be applicable with respect to Affiliate's online conduct. Sex2Go may refuse to enroll a potential Affiliate, and is entitled to restrict, modify, and/or terminate an Affiliate's participation in Sex2Go, without liability to the Affiliate or any other party, if the potential Affiliate/Affiliate violates any law, rule or regulation, or if the potential Affiliate/Affiliate's participation could violate any law, rule, or regulation. 13. Sex2Go may not be accessed, viewed, downloaded, or otherwise received in any country or location in which doing so would, or could be deemed a violation of any Law, Regulation, Rule, Ordinance, Edict or Custom. 14. The Affiliate agrees to provide only true and accurate information to Sex2Go at all times. 15. In the case that Sex2Go believes that an Affiliate has violated or acted inconsistently with the rules of Sex2Go or the intent of this Agreement, then Sex2Go has the right to cancel, at Sex2Go's sole discretion, that Affiliate's Sex2Go account. Affiliate understands and agrees that cancellation of the account will result in the forfeiture of all earnings made by Affiliate. 16. The Affiliate understands and agrees that Sex2Go shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules and any decision it makes relating to cancellation of the account shall be final and binding. 17. In addition to these Terms and Conditions, Sex2Go may have additional Terms and Conditions that are, and shall become, an integral part of this Agreement. All Terms and Conditions apply to Sobounito Investments, the Site, and you. This Agreement supersedes all prior written or oral understandings, writings and representations and may only be amended by Sex2Go. If any provision of this Agreement is held void or unenforceable to any extent, such provision shall be deemed excised and removed only to the extent to make the remaining provisions and this Agreement enforceable. Unless otherwise specifically provided, the provisions of this Agreement shall survive its termination. To avoid doubts: Any of the following will result in ALL of your accounts being terminated without pay : DISCLAIMER THE MATERIALS ON SEX2GO ARE PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY OR FITNESS FOR A PARTICULAR PURPOSE. SEX2GO OFFERS NO ASSURANCE OF UNINTERRUPTED OR ERROR FREE SERVICE. SEX2GO DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED ON THE SITE. ANY OF THE INFORMATION OFFERED ON SEX2GO MAY CHANGE AT ANY TIME WITHOUT NOTICE. SEX2GO MAKES NO REPRESENTATION AS TO ANY OF THE INFORMATION FOUND AT THE SITE. SHOULD THE MATERIALS OR SERVICES PROVIDED PROVE DEFECTIVE AND/OR CAUSE ANY DAMAGE TO EQUIPMENT OR ANY LOSS OR INCONVENIENCE TO AFFILIATE OR ANYONE CLAIMING THROUGH AFFILIATE, AFFILIATE ASSUMES THE ENTIRE COST AND RESPONSIBILITY FOR SAME. AFFILIATE WILL INDEMNIFY AND HOLD HARMELSS Sobounito Investments©, SEX2GO.com®, ITS OFFICERS, AGENTS, SHAREHOLDERS, DIRECTORS AND EMPLOYEES FROM AND AGAINST ANY CLAIMS, LAIBILITIES, LOSSES, COSTS, DAMAGES OR EXPENSES (INCLUDING ATTORNEY'S FEES) ARISING FROM THE USE OF OR PARTICIPATION IN THIS SERVICE OR THE INFORMATION CONTAINED THEREIN AND WITH RESPECT TO ANY EXISTING, CLAIMED, OR ASSERTED THIRD PARTY RIGHTS. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL SEX2GO BE LIABLE FOR ANY OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS SITE, EVEN IF SEX2GO OR A SEX2GO AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT SHALL SEX2GO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING SEX2GO. |
